Twee soorten stichting met rechtspersoonlijkheid:
● Private stichting
● Stichting van openbaar nut
Art. 11:3 WVV
Definitie: Een rechtspersoon zonder leden opgericht bij rechtshandeling bij één of meer personen, de stichters. Haar vermogen wordt
bestemd om een belangeloos doel na te streven in het kader van één of meer welbepaald activiteiten die zij tot voorwerp heeft. Zij mag
rechtstreeks noch onrechtstreeks enig vermogensvoordeel uitkeren of bezorgen aan de stichters. Elke verrichting in strijd met dit verbod is
nietig.
Het gebruik van een stichting vinden wij terug bij vermogensplanning. Een stichting wordt vaak opgericht om bijvoorbeeld een collectie onder te
brengen in een stichting met als doel te beletten dat bij nalatenschap die zouden verdeeld worden onder de erfgenamen met als gevolg dat die
eenheid doorbroken wordt.

VOORBEELD 2: De familie wilt een kasteel bewaren, zij brengen dat kasteel in een stichting om het te beschermen. Want het kan zijn dat één
van de erfgenamen zijn deel verkoopt. Dat wil men juist vermijden.
, Stichting van openbaar nut:
Koning Boudewijnstichting: Deze stichting heeft tot doel om bepaalde projecten te steunen die zich situeren in de armoedebestrijding. Zij
ondersteunen lokale projecten vanuit die stichting. Die wordt beheerd door een groot team.
Oprichtingsformaliteiten
Voor de oprichtingsformaliteiten verwijzen we naar Deel 2 ‘Bepalingen gemeenschappelijk aan rechtspersonen’
Art. 2:5, §3 WVV
Een stichting wordt altijd opgericht met tussenkomst van de notaris. Via:
● Authentieke akte: tijdens zijn leven
● Authentiek testament: “Als ik kom te overlijden, moet mijn vermogen ingebracht worden in een stichting”
Als de notaris een testament opmaakt, dan zal die een ontwerp van die stichting al toevoegen aan het testament zelf. Na het overlijden zal die
testament officieel neergelegd worden op de griffie van de ondernemingsrechtbank.
