De hoogste machtspositie ligt bij de aandeelhouders.

Wanneer is een vennootschap een grote vn?
1) Eigen vermogen, meer dan 16 miljoen euro
2) Meer dan 100 werknemers in NL
3) Verplichte ingesteld ondernemingsraad
Dan sprake van grote NV of BV = structuurregeling
RC mag er zijn maar geen verplichting, maar als een vn voldoet aan de structuurregeling dan
moet de onderneming er verplicht een RC instellen en de RC krijgt meer bevoegdheden dan.
1/3 van de rvc wordt bepaald door de vn
