,1.- CARÁCTER INTERNACIONAL
DEL CONTRATO
El contrato internacional se caracteriza
porque afecta a dos o más ordenamientos
jurídicos diferentes.
Como definición general se puede decir que
un contrato internacional es un acuerdo
de voluntades pactado entre dos o más
partes que tienen su domicilio o residencia
en Estados distintos.
,Los contratos más usados en la actividad internacional y sus
principales características son:
1. Contrato de compraventa (bienes o servicios):sirve
para establecer las condiciones en el proceso por el cual
una empresa se compromete a entregar un bien o
servicio a cambio de un valor previamente acordado. En
este tipo de documento es necesario añadir una serie
de contenidos al esquema general que mencionamos
anteriormente:
Cantidades.
Plazos para la entrega.
Incoterms.
Forma de pago: entre las más utilizadas encontramos el
pagaré, las cartas de crédito o créditos documentarios,
etc.
, 2. Contrato de distribución, mediante el
cual se acuerda la venta de una empresa a
través de un distribuidor local. La
característica principal es que se establece la
independencia contractual entre los
firmantes una vez entregada y pagada la
mercancía para que el distribuidor pueda
revender la mercancía libremente. Podemos
encontrar cláusulas que contengan
especificaciones sobre el territorio,
exclusividad, garantías, etcétera.
