Hoe moeten we not for profit organisaties typeren? Wat zijn dat voor organisaties?
Privaatrechtelijke rechtspersonen? Not for profit organisaties zoals verenigingen en
stichtingen hebben hun grondslag niet zozeer in het privaatrechtelijke rechtspersonenrecht,
maar de grondslag zit in iets heel fundamenteels:
A. Associatievrijheid. Als je vrij bent om je met andere rechtspersonen en andere
personen te associëren, dan ben je ook vrij om te bepalen met wie je een verbinding
aan gaat.
B. Organisatievrijheid. Hoe je je vervolgens gaat organiseren.
Dit is een vrij groot goed. Deze vrijheden zijn neergelegd in artikel 8 van de Grondwet. Juist
bij stichtingen en met name verenigingen wordt hierover geschreven en dit kan ook tot
conflicten leiden. De organisatievrijheid zegt dat je niet alleen vrij bent om te associëren met
wie je wil zonder goedkeuring van de overheid. Die associatievrijheid betekent ook dat je er
een “closed shop”(= besloten kring) van kan maken (dat je zelf bepaalt wie tot deze club
behoort). De keerzijde is dus dat er voor anderen in beginsel geen recht bestaat om toegelaten
te worden tot dezelfde club. Vandaar dat het een privaatrechtelijke organisatie betreft.
