Application = art. 1 & 2 CISG:
- Sale of goods (verkoop van roerende goederen)
- Parties from different states (2 partijen in andere landen)

Formation of an agreement:
Art. 23 CISG = agreement offer + Acceptance (aanbod en aanvaarding)
What is an offer = art. 14 Lid 1 CISG : 3 elements
- Proposel for concluding a contract = voorstel voor overeenkomst.
- Addressed to one or more specific persons = gericht op een 1 of meerdere
specifieke personen
- Sufficiently definite = voldoende bepaalbaar. (prijs, merk, levertijd etc)
At what moment is the agreement concluded = wanneer is de overeenkomst geldig?
1. Art. 23 CISG: when the acceptance becomes effective = als de
aanvaarding effect krijgt
2. Art. 18 CISG: an acceptance of an offer becomes effective at the moment the
indication of assent reaches the offeror (reception theory) = wanneer de

There is a difference between:
1. Breach of contract = wanprestatie
VB: agreement between A-B: A sold his car to B. Obligiations:
o A has the duty to deliver the car
o B has the duty to pay the price
If A does not deliver a (good) car or B does not pay Breach of
contract
2. Tort = onrechtmatige daad
VB: A ignores a red traffic light and he demolishes B’s car TORT
o No agreement between A/B, but A has to pay the damage
