As the ACO, you have received a notice to terminate for convenience. The non-commercial,
FFP contract has been partially terminated. What are the ACO's responsibilities?
As the ACO, confirm that the contract has the terminations clause FAR 52.249-1. Since the
termination is a partial termination, after the non-terminated portion of the contract has been
completed, move the contract to Section 3. Work with the TCO if the contract has any
cancelling funds and start any closeout actions that can be completed while the settlement is
negotiated. Once the settlement is finalized and the settlement modification is issued, move
the contract back to Section 1. The Contractor must bill the final settled amount. Once the final
payment is made, the contract will move to Section 2 and all pending closeout actions can be
completed.
