Tema 5: Introducción al Derecho de sociedades1. Concepto de sociedad
Elementos esenciales del concepto:
- Contrato (negocio jurídica unilateral)
- Fondo común y actividad en común
- Organización más o menos compleja a la que se le reconoce personalidad jurídica
La persona jurídica nacida del contrato adquiere la condición de empresario que no tienen los
socios.
2. Sociedad como contrato y como institución
Podemos diferenciar dos aspectos:
- Contractual
- Institucional
El aspecto contractual es el estudio del negocio jurídico que da vida a la sociedad: Contrato o
negocio jurídico unilateral.
El aspecto institucional es el estudio de la persona jurídica que nace del acuerdo de voluntades
manifestado en el contrato.
Contrato sujeto a dos requisitos:
- De forma: Escritura pública. El Ccmr. No la exige para su existencia sino para su
regularidad
- De publicidad: Inscripción en el RM
Aspecto institucional:
- Reconocimiento de sujeto de derecho
- Reconocimiento de nacionalidad, domicilio, denominación
- Autonomía patrimonial
- Separación de responsabilidad entre la sociedad y los socios
- Actúa a través de los órganos sociales
3. Sociedad civil y mercantil
A) Consecuencias:
- En relación al contrato, se aplican las normas generales es sobre contratos del CCmr.
Arts. 50 y ss
- En relación al ente, se le califica como empresario. Se le aplica el estatuto del
empresario
