Dos órganos son esenciales: Junta general y órgano de administración
2. Junta general: Concepto, competencias, convocatoria, celebración, impugnación de
acuerdos
Concepto
Órgano de carácter colegial, que es soberano dentro de la organización de la sociedad
(formación de la voluntad social), si bien el alcance de sus acuerdos es interno.
Es un órgano necesario y no permanente
Competencia
Tiene sus propias competencias art. 160, aunque el art. 161 permite la intervención de la junta
en asuntos de gestión. En las capitalistas era necesario la junta general y el órgano de
administración (Los socios), son órganos de acuerdos.
El legislador atribuye a las determinadas sociedades ciertas competencias, la modificación de
estatutos siempre cae en manos en la junta general.
En el órgano de administración tiene dos competencias genéricas: Administrar y representar a
la sociedad
Clases
Ordinaria o extraordinaria. No diferencias sustanciales sino por su periocidad.
En la junta ordinaria es la que siempre tiene que celebrar en los seis primeros meses, de cada
ejercicio, para en su caso, aprobar la gestión social, las cuentas del ejercicio anterior y resolver
sobre la aplicación del resultado.
La junta general ordinaria será válida aunque haya sido convocada o se celebre fuera de plazo
En la extraordinaria la que se realiza fuera del plazo de seis meses
Convocatoria
a) Función. Junta universal
Junta universal. No hay convocatoria
b) Sujetos que pueden convocar
- Administradores (Están facultados y obligados en algunos casos cuando tienen
perdidas)
- Comisario del sindicato de obligacionistas (Es un representante de los obligacionistas y
puede convocar)
- Los liquidadores (Pagar todo lo que se debe) Son los propios administradores
