Im Gesellschaftsvertrag der „Dr. Mertens Büroartikel KG “ hat sich Kommanditist
K zu einer Einlage des Inhalts verpflichtet, ein Jahr unentgeltlich als Geschäfts-
führer tätig zu sein. Dem K wurde daraufhin Geschäftsführungsbefugnis erteilt.
Die Gesellschaft bewertet diese Tätigkeit mit einem Wert von 20.000 €. Im
Handelsregister wird K mit einer Haftsumme von 20.000 € als Kommanditist
eingetragen. Nach zwei Jahren – K ist als Geschäftsführer nicht mehr tätig –
nimmt Lieferant L den K wegen einer Kaufpreisschuld der KG in Höhe von
10.000 € in Anspruch.
