WEBCAST 3:40Stel 2 partijen sluiten een overeenkomst met
elkaar, maar de inhoud van die overeenkomst is
in strijd met een wettelijke bepaling. Er is bijv. een
wet die zegt dat er maar tot 19u in de avond
bouwwerkzaamheden mogen worden uitgevoerd,
maar die 2 partijen komen overeen dat er tot 20u
wordt gewerkt.

Is er een speciale regeling op de casus van toepassing?
o Art. 3:40 is namelijk een algemeen leerstuk en een speciale regeling gaat voor een
algemene regeling. Als in een speciale regeling er al is voorzien in een rechtsgevolg,
dan kom je niet toe aan de toepassing van art. 3:40.

Stap 1: lid 2
Hier zal je de vraag beoordelen of dat de totstandkoming van de rechtshandeling in strijd is met de
wet? Dus kijkend naar de ladekast: je gaat eerst de bovenste horizontale rij toetsen aan de linker
verticale rij.
Er zijn 3 vereisten in lid 2:
a. Het moet gaan om een wet in formele zin
b. De wettelijke bepaling waarmee de rechtshandeling in strijd is moet van dwingend recht zijn
c. De wet moet het verrichten (totstandkoming) van de rechtshandeling verbieden
Voldoet (dus ja)? → Rechtsgevolg, er zijn 3 verschillende sanctiemogelijkheden:
Een rechtshandeling die wordt verricht in strijd met een dwingende wetsbepaling = nietigheid
(dit volgt uit de aanhef van lid 2)
Wanneer de dwingende wetsbepaling echter uitsluitend strekt tot de bescherming van een
van de partijen, dan is de rechtshandeling = vernietigbaar (vervolg van lid 2)
Wanneer de rechtshandeling die wordt verricht in strijd is met de wet die niet het oogmerk
heeft om de geldigheid aan te tasten = geldig (lid 3)
