TEMA 8. LA INEFICACIA DEL NEGOCIO JURÍDICO8.1. Nulidad.
Nulidad = Nulidad absoluta = Inexistencia.
SUPUESTOS DE NULIDAD:
Un Negocio jurídico puede ser nulo cuando le falta algunos de sus requisitos esenciales
(art.1261 y art. 1300). La forma también puede ser un requisito esencial, por lo que, si
no hay formas puede que el negocio jurídico sea nulo. También es nulo cuando el
negocio jurídico es contrario a la ley imperativa, a la moral u orden público (art. 1255,
salvo que el ordenamiento establezca otra sanción: 6.3). También si la causa es ilícita
(art. 1275) o si el objeto es ilícito (art. 1271) y art. 1322.
CONSECUENCIAS:
La consecuencia es la no existencia del Negocio Jurídico nulo. La sentencia que decide
nulo un negocio jurídico es una sentencia de carácter declarativo, es decir, dice lo que
hay, declara que una situación no tiene carácter constitutivo. La apreciación de oficio
es cuando un juez tiene constancia de la existencia de un negocio jurídico nulo debe
declararlo como tal; no hace falta pedírselo, el solo lo debe de declarar a no ser que
evidentemente haya que solicitarlo.
Otra consecuencia de la inexistencia es que no serán válidos los efectos posteriores
(excepcionalmente, el ordenamiento en aras de la defensa de la buena fe, si establece
efectos: matrimonio Art. 74, 34 LH).
El vicio que hace el negocio jurídico no es subsanable. La acción para que se declare
que un negocio jurídico es nulo no prescribe ni caduca.
La legitimación activa puede ser presentada, cualquiera con interés legítimo en que se
declare la nulidad.
En ocasiones, es posible que no se declare nulo todo el negocio jurídico, solo unas
determinadas cláusulas de éste (nulidad parcial del negocio jurídico).
8.2. Anulabilidad.
CONCEPTO:
La anulabilidad es como una nulidad, pero en interés de parte, Art. 1300 – 1314.
SUPUESTOS DE ANULABILIDAD:
Falta de capacidad (menores de edad, capacidad de obrar modificada por
sentencia, emancipados, cónyuge: Art. 1322) o de legitimación.
EJ: Yo vivo en una casa alquilada, como arrendatario no puedo vender la casa,
esto solo tiene derecho el propietario, da igual que seas mayor de edad, etc. No
tiene legitimación de vender la casa.
