PROMOTION AND ADVERTISING AGREEMENT

Between

Advert Co Limited, a company incorporated in Scotland (Registered Number
SC123), having its registered office at Old College, South Bridge, Edinburgh, EH8 9YL
(the “Promoter"); and

Alcohol PLC, a company incorporated in England (Registered Number 1234), having
its registered office at 1 Brewery Close, London (the "Client")

WHEREAS :-

(A) The Promoter provides promotion and advertising services; and

(B) The Client wishes to promote a new brand of beer called LagerLite; and

(C) The Client wishes to engage the services of the Promoter to promote and
advertise LagerLite at a number of venues within the United Kingdom on the
terms and conditions of this Agreement.

NOW THEREFORE IT IS AGREED as follows:-

1. Interpretation

Completion Date means

External Factor means Third Party factors that influence the performance
of either of the parties;
LagerLite
means the new brand of beer developed by the Client, as
illustrated in Part 1 of the Schedule hereto;
LagerLite Boys
and means the promotional staff to be employed by the
Girls Promoter to assist in the provision of the Services in
accordance with Clause 4.1 below;

Project Manager means the employee of the Promoter in charge of the
provision of the Services to the Client;
Satisfactory
Standards means the quality determined upon the agreement of both
parties;

Services means the services to be provided by the Promoter to the
Client as set out and detailed in Part 2 of the Schedule
hereto, and subject to such changes as instructed by the
Client in accordance with Clause 2.3 below;

Third Party means the Client and Venues; and

, Venues means those pubs, clubs and other venues listed in Part
43 of the Schedule hereto.


2. Provision of Services
2.1 Advert Co LimitedThe Promoter agrees to provide the Services to the Client in
accordance with the terms of this Agreement.

2.2 The Promoter shall commence the provision of the Services on 9 January 2016.

2.3 The Client shall be entitled to notify the Promoter in writing of any revisions,
alterations, additions or deletions to the Services, which are incidental or necessary
to the continued provision of the Services, and the Promoter shall implement these
notified revisions, alterations, additions or deletions within 14 days of the written
notice.




3. Payment
3.1 The Client agrees to pay to the Promoter the total sum of $£50,000 at the
conclusion of this Agreement, when all Services have been provided by the
Promoter to the Client’s entire satisfactionSatisfactory Standards. For the avoidance
of doubt the Client shall be the sole judge of whether the Services have been
provided satisfactorily.

3.2 The Client will pay the Promoter an additional payment for any additions in
accordance with clause 2.3 to the Services to be provided. (however, what amount
will this payment be? How will we determine the amount? This can be done by
reference to a schedule, which sets out the prices of the Promoter- a price list- which
gives ideas of any revision in the payment)

4. LagerLite Boys and Girls
4.1 The Promoter shall engage the services of a team of not less fewer than 20 and
not more than 40 men and women between the ages of 18 and 25. (The Promoter
shall engage the services of a team of men and women it determines appropriate, to
ensure the Client’s Services are performed to Satisfactory Standards, between the
ages of 18 and 25)

4.2 All LagerLite Boys and Girls must have a minimum height of 5’5’’ and be
sufficiently slim and attractiveof an attractive nature in order to undertake marketing
and promotional work in the Venues in accordance with this Agreement.

4.32 The Promoter shall ensure that the LagerLite Boys and Girls are adequately
trained on appropriate methods of promotion and selling and have been thoroughly
briefed about LagerLite.
