DRAFT CONTRACT OF EMPLOYMENT

This Agreement is dated [DATE]


PARTIES
(1) Briscoe IT Systems Limited whose office is at 111 Thames Valley Parkway, Reading,
Berkshire RG6 1RH (Company); and
(2) James Kerr of 18 Woodville Road, Ealing, London W5 2SF (Employee).

1. INTERPRETATION

1.1 Board: the board of directors of the Company.

1.2 Confidential Information: information (whether or not recorded in documentary
form, or stored on any magnetic or optical disk or memory) relating to the Company’s
business, products, affairs and finances for the time being confidential to the
Company and trade secrets including, without limitation, technical data and know-
how relating to the Company’s business or any of its business contacts.

1.3 Garden Leave: any period during which the Company has exercised its rights under
clause 14.

1.4 Staff Handbook: the Company’s staff handbook as amended from time to time.

2. EMPLOYMENT TERM

2.1 The employment and date of continuous employment shall commence on 1 April
2020 and shall continue, subject to the remaining terms of this Agreement, until

, terminated by either party giving the other not less than three months prior notice in
writing.

2.2 No employment with a previous employer counts towards the Employee’s period of
continuous employment with the Company.

3. DUTIES

3.1 The Employee shall serve the Company as Senior Sales Consultant or such other
role as the Company considers appropriate.

3.2 During the employment the Employee shall:
(a) unless prevented by incapacity, devote the whole of his time, attention and
abilities to the business of the Company;
(b) diligently exercise such powers and perform such duties as may from time to
time be assigned to him by the Company together with such person or
persons as the Company appoint to act jointly with him;
(c) comply with all reasonable and lawful directions given to him by the
Company;
(d) use his best endeavours to promote, protect, develop and extend the
business of the Company.

3.3 The Employee shall comply with any rules, policies and procedures set out in the
Staff Handbook. The Staff Handbook does not form part of this Agreement and the
Company may amend it at any time. To the extent that there is any conflict between
the terms of this Agreement and the Staff Handbook, this Agreement shall prevail.

3.4 All documents, manuals, hardware and software provided for the Employee’s use by
the Company, and any data or documents (including copies) produced, maintained or
stored on the Company’s computer systems or other electronic equipment (including
mobile phones), remain the property of the Company.

4. PLACE OF WORK

4.1 The Employee's normal place of work is 2 Merchant Square, Paddington, London W2
1DP, or such other place which the Company may reasonably require for the proper
performance and exercise of his duties. The Employee may be required to work at
the Company’s Reading office from time to time.

4.2 The Employee agrees to travel on business (both within the United Kingdom and
abroad) as may be required for the proper performance of his duties under this
Agreement.
